Who We Are
These Terms govern your relationship with Scripthonix Solutions Private Limited ("Scripthonix", "we", "us"), a company incorporated under the Companies Act, 2013, with its registered office at A130, Sector 63, Noida, Uttar Pradesh – 201301, India.
You must be at least 18 years of age to use our platforms. By accepting these Terms, you confirm you meet this requirement.
Consulting Services
Scripthonix provides AI and technology consulting, including fractional CTO services, AI strategy advisory, and outsourced technology work. Information on this website facilitates initial enquiries only — submitting a contact form does not, by itself, create a contractual relationship or consulting engagement. All consulting engagements are governed exclusively by a separate signed agreement between Scripthonix and the client, or, in the absence of a signed agreement, by these Terms.
Scope and pricing for a specific engagement may be communicated and agreed over email, but such communication does not itself constitute a separate agreement superseding these Terms unless a signed agreement is subsequently executed.
Nothing on this website constitutes professional advice and should not be relied upon as a substitute for advice tailored to your situation.
FoundersNagri
FoundersNagri is a structured founder community offering free and paid membership tiers. Paid tiers currently include Prime Membership (access to open Founder Sessions) and Roundtable Cohort. These are separate products and purchasing one does not entitle you to the other, except that Roundtable Cohort includes Prime Membership for the duration of the cohort.
Nature of the service
FoundersNagri is a peer community platform, not a professional advisory service. Nothing shared within the platform constitutes legal, financial, investment, or business advice. You are solely responsible for any decisions you make based on community discussions.
Free tier
Your first open Founder Session is offered as a free guest experience. This is the only free tier. Access to any paid tier — Prime Membership or Roundtable Cohort — requires a separate purchase. We reserve the right to modify or withdraw the free guest session at any time, with reasonable notice where practical.
Sessions and recordings
FoundersNagri sessions — including open Founder Sessions and Roundtable Cohort sessions — are not video recorded. No video of any session is made, stored, or distributed by Scripthonix. This is deliberate, to preserve the candour and confidentiality of conversations between founders. Participants are also prohibited from making any video recording of sessions themselves.
Paid tier — payment and refunds
Paid memberships are processed through Razorpay. By subscribing, you authorise Scripthonix to charge the applicable fee through your chosen payment method.
We reserve the right to change membership fees with at least 30 days' notice to existing subscribers.
Session scheduling
Open Founder Sessions (available to Prime members) are held on weekday evenings. Specific dates and times are scheduled by Scripthonix at its discretion and are not fixed or guaranteed at the time of purchase. Prime members are expected to make themselves available for sessions as scheduled. Non-attendance, inability to attend, or dissatisfaction with scheduled timings does not entitle a member to a refund, credit, or rescheduling.
Roundtable Cohort session timings are confirmed at the time of purchase and remain fixed for the duration of the cohort. Cohort members who are unable to attend a scheduled session are not entitled to a refund or substitute session.
Community conduct
By participating in FoundersNagri, you agree to engage respectfully and in good faith, not use the platform for solicitation or spam, not misrepresent your identity or credentials, and comply with all applicable laws. Scripthonix may, at its sole discretion, immediately suspend or permanently remove any member who engages in spamming, unsolicited solicitation, harassment, misrepresentation, unethical conduct, or any behaviour that is illegal under applicable law — without notice and without refund. In cases involving conduct that may constitute a criminal offence or violation of applicable law, Scripthonix reserves the right to report such conduct and the member's details to the relevant authorities in accordance with the law.
Community, not advice
FoundersNagri is a peer platform. Nothing shared by Scripthonix, facilitators, or other members constitutes legal, financial, investment, or business advice. This applies equally to content shared in sessions, WhatsApp groups, and any other FoundersNagri communication channel. You are solely responsible for any decisions you make based on discussions, posts, or interactions within the platform. Members whose posts or shared content influence another member's decisions bear no liability for outcomes. By participating, you irrevocably indemnify and hold harmless Scripthonix, its directors, facilitators, and all other members from any claims, losses, or damages arising from decisions you make based on content shared within the platform.
Founders may voluntarily share asks and offers within sessions and community channels. FoundersNagri facilitates the session structure and environment in which these exchanges occur — it does not endorse, verify, screen, or guarantee any ask, offer, or claim made by a member. Any introductions, agreements, transactions, or arrangements that arise between members as a result of their participation are entirely between the members involved. Scripthonix’s responsibility ends at facilitation — it bears no liability for the accuracy of what members share or for any outcome arising from member-to-member interactions beyond the session.
Confidentiality
Cohort and community conversations may involve commercially sensitive information shared by other founders. By joining, you agree to treat what you hear or read within FoundersNagri as confidential and not disclose, share, or misuse it outside the platform. This obligation applies to sessions, WhatsApp groups, and any other FoundersNagri channel, and survives termination of your membership.
Roundtable Cohort — access and screening
Access to the Roundtable Cohort is not automatically available to all Prime members or registrants. Cohort participation is subject to seat availability and discretionary screening by Scripthonix, including but not limited to assessment of business category, stage, and cohort composition. Scripthonix reserves the right to decline any application to join a cohort without stating reasons. Holding a Prime Membership does not guarantee or create any entitlement to a Roundtable Cohort seat.
WhatsApp groups
FoundersNagri community discussions may take place on WhatsApp groups facilitated by Scripthonix. By joining such a group, you acknowledge that your phone number will be visible to all other members of that group.
Within FoundersNagri WhatsApp groups, you agree to:
- Not share, save, or use another member's phone number for any purpose outside the group without their explicit consent
- Not add members to other groups or contact lists without their explicit consent
- Not use the group for solicitation, promotional messages, or unsolicited outreach to other members
- Treat all communications within the group with the same confidentiality expected of the broader community
- Conduct yourself with the same standards of respect and good faith required across all FoundersNagri platforms
Scripthonix reserves the right to remove any member from a WhatsApp group for conduct that violates these standards. Removal from a WhatsApp group may also result in suspension from FoundersNagri more broadly.
Session Notes and Community Sharing
Session content — including asks, offers, and founder details — is collected through a recorded digital submission process.
As facilitator, Scripthonix may compile session submissions and share the resulting notes within the FoundersNagri community — including via WhatsApp groups and other community channels — for the purpose of enabling introductions and follow-up between members. By submitting a session form and participating in FoundersNagri, you consent to your submission being shared in this way within the community.
Members are responsible for the accuracy of what they submit. Scripthonix does not verify, edit, or alter session submissions. If you believe your submission has been misrepresented, contact contact@scripthonix.com within 48 hours of the session notes being shared.
Please do not include personal contact details such as phone numbers in your session submission. If you wish to connect directly with another member, do so via LinkedIn or other contact details exchanged with that member directly during the session.
KidsNagri
KidsNagri offers offline and online K12 learning programmes, including a children's leadership programme for ages 8–14, currently operating in Noida.
Parental consent and authority
By enrolling a child or submitting an expression of interest, the parent or guardian confirms that they have the legal authority to enter into this agreement on behalf of the child, consent to the child's participation in all programme activities, accept full responsibility for the child's conduct, and that all information provided is accurate.
Programme delivery
Sessions are mentor-led and activity-based. Scripthonix reserves the right to modify the programme structure or schedule with reasonable notice. Scripthonix may exclude a child from the programme if their conduct poses a risk to other participants or the mentor, or if the parent or guardian is in material breach of these Terms.
Photographs, recordings, and promotional use
We may photograph or record sessions for internal documentation. Any use of identifying photographs or recordings for promotional purposes — including on our website or social media — will only be done with separate explicit written consent from the parent or guardian, which can be withdrawn at any time by writing to contact@scripthonix.com.
Child safety
The safety and wellbeing of every child is our priority. Report any concerns about a session or mentor's conduct to contact@scripthonix.com immediately. Scripthonix does not permit physical punishment, humiliation, or discriminatory treatment of any child under any circumstances.
Supervision and attendance
Parents or guardians are responsible for timely drop-off and collection. Scripthonix is not responsible for the child's safety outside scheduled programme hours.
Fees and refunds
Programme fees are payable in advance per the fee structure communicated at enrolment. All fees are final and non-refundable once a programme cycle has commenced, except where a session is cancelled by Scripthonix, in which case a proportionate credit or rescheduling will be offered.
Expressions of interest
Submitting an expression of interest does not guarantee enrolment or constitute a contract. Enrolment is confirmed only upon formal confirmation from Scripthonix and payment of the applicable fee.
Intellectual Property
All content on our platforms — including text, graphics, logos, and software — is the property of Scripthonix Solutions Private Limited or its licensors. You are granted a limited, non-exclusive, non-transferable licence to access and use our platforms for their intended purposes only. You may not copy, reproduce, or commercially exploit our content without prior written consent.
Some images on our platforms have been created using AI image generation tools. These are synthetic and do not intentionally depict real individuals. If you believe an image resembles a real person, please notify us at contact@scripthonix.com.
Disclaimers
Our platforms and services are provided on an "as is" and "as available" basis. Scripthonix makes no warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or uninterrupted availability. We reserve the right to modify, suspend, or discontinue any service at any time without notice.
Limitation of Liability
To the fullest extent permitted by applicable law, the aggregate liability of Scripthonix arising from your use of any service under these Terms shall not exceed the total amount you actually paid to Scripthonix for that specific service in the 12 months preceding the claim.
For users of free-tier services, our total liability shall be nil.
In no event shall Scripthonix be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity. Nothing in this clause limits liability for fraud, wilful misconduct, or any liability that cannot be excluded under the Consumer Protection Act, 2019.
Governing Law and Disputes
These Terms are governed by the laws of India. Disputes shall first be attempted to be resolved through good-faith negotiation within 30 days of written notice. If unresolved, they shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996 (as amended), before a sole arbitrator mutually appointed by the parties. The seat and venue of arbitration shall be New Delhi. The courts at New Delhi shall have exclusive jurisdiction for matters not subject to arbitration.
Changes to These Terms
We may update these Terms from time to time. Any changes will be reflected on this page with a revised "Last Updated" date. Continued use of our platforms after changes are posted constitutes your acceptance of the updated Terms.
User Content
Where our platforms allow you to submit, post, or share content — including forum posts, comments, and messages on FoundersNagri — you retain ownership of your content. By submitting content, you grant Scripthonix a non-exclusive, royalty-free, worldwide licence to display, reproduce, and distribute that content solely for the purpose of delivering and operating the platform.
You warrant that any content you submit does not infringe third-party intellectual property rights, does not violate any applicable law, and is not defamatory, abusive, or otherwise harmful. Scripthonix reserves the right to remove any content at its sole discretion without notice.
On termination or cancellation of your membership, your content may be retained on the platform for continuity of community discussions but will no longer be attributable to an active account. You may request deletion of your content by writing to contact@scripthonix.com.
Account Security
You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at contact@scripthonix.com if you become aware of any unauthorised access to or use of your account.
Scripthonix shall not be liable for any loss or damage arising from your failure to maintain the security of your credentials or from any unauthorised access to your account that results from your own actions or omissions. You may not share your account credentials with any other person or allow others to access the platform under your account.
Third-Party Services
Our platforms integrate or depend on third-party services including Razorpay (payment processing), Google (Analytics, Forms), WhatsApp (community communication), and cloud infrastructure providers. Your use of these services is subject to their respective terms and privacy policies. Scripthonix is not responsible for the availability, accuracy, security, or conduct of any third-party service.
We do not endorse any third-party service by virtue of integrating with it, and we are not liable for any loss or damage arising from your use of or reliance on any third-party service, including payment failures, data loss, or service outages caused by third-party providers.
Indemnification
You agree to indemnify, defend, and hold harmless Scripthonix Solutions Private Limited, its directors, employees, contractors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of our platforms or services in violation of these Terms
- Any content you post, share, or transmit through our platforms, including on FoundersNagri forums or WhatsApp groups
- Your violation of any applicable law, regulation, or third-party right, including intellectual property rights or privacy rights
- Any false, misleading, or inaccurate information you provide to us
- Any dispute between you and another user or third party arising from your use of our platforms
This indemnification obligation will survive termination of your account or membership and your cessation of use of our services.
Force Majeure
Scripthonix shall not be liable for any failure or delay in performing its obligations where such failure or delay results from any cause beyond our reasonable control, including but not limited to:
- Acts of God, natural disasters, floods, fires, earthquakes, or extreme weather events
- War, armed conflict, terrorism, civil unrest, or government actions
- Epidemics, pandemics, or public health emergencies
- Failures or outages of third-party infrastructure, including cloud hosting providers (such as AWS, Google Cloud, Microsoft Azure, or similar), internet service providers, content delivery networks, or data centres
- Failures of third-party services we depend on, including payment processors (Razorpay), communication platforms (WhatsApp), or analytics providers
- Cyberattacks, distributed denial-of-service attacks, or other malicious interference with our systems
- Power outages, telecommunications failures, or internet disruptions
- Changes in applicable law or government regulation that prevent or restrict our ability to deliver services
In such circumstances, our obligations will be suspended for the duration of the force majeure event. We will make reasonable efforts to notify affected users and resume services as soon as practicable. Force majeure events do not entitle you to a refund of fees already paid unless we are unable to deliver the service at all.
Severability
If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect and shall not be affected by any such finding. The invalidity of one provision shall not affect the validity of the remainder of these Terms.
Waiver
No failure or delay by Scripthonix in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy. No single or partial exercise of any right shall preclude any further or future exercise of that right or the exercise of any other right. Any waiver of a breach of these Terms shall not be construed as a waiver of any subsequent breach of the same or any other provision.
Entire Agreement
These Terms, together with our Privacy Policy and any additional terms applicable to specific services, constitute the entire agreement between you and Scripthonix with respect to your use of our platforms and services. They supersede all prior and contemporaneous agreements, representations, warranties, and understandings, whether written or oral, relating to the subject matter herein.
For consulting clients, these Terms govern your use of this website and initial enquiries only. Any consulting engagement is governed exclusively by the separate written agreement executed between the parties, which shall prevail over these Terms in the event of any conflict.
Assignment
You may not assign, transfer, delegate, or sublicense any of your rights or obligations under these Terms, including your membership, account, or any benefits associated therewith, without the prior written consent of Scripthonix. Any purported assignment in violation of this clause shall be null and void.
Scripthonix may freely assign, transfer, or delegate these Terms or any of its rights or obligations hereunder, including in connection with a merger, acquisition, corporate restructuring, or sale of all or substantially all of its assets, without your consent. We will make reasonable efforts to notify you of any such assignment.
